Sun Microsystems to Acquire StorageTek for $4.1 Billion, Creating a Global Leader in Network Computing and Data Management

Transaction Joins Technology Leaders with Nearly 60 Years of Combined Experience in Mission-Critical Environments

Sun Technology and Customer Base Grows Beyond Solaris and Java to Include Broad Range of Information Lifecycle Management Solutions

Sun Microsystems, Inc. (NASDAQ: SUNW) and Storage Technology Corporation (NYSE: STK) today announced that they have entered into a definitive agreement under which Sun will acquire StorageTek. The combination will create a new global leader in comprehensive network computing and data management which collectively had total annual revenues of more than $13 billion in the past four quarters. Together, Sun and StorageTek can offer customers the most complete range of products, services and solutions available for securely managing mission-critical data assets. By bringing a systems approach to Information Lifecycle Management (ILM), Sun will be well-positioned to help customers better manage their growing privacy, security, compliance and policy requirements.

Under the terms of the agreement approved by both boards of directors, StorageTek stockholders will receive $37 per share in cash for each StorageTek share for an aggregate value of approximately $4.1 billion, including the assumption of employee stock options. Sun expects the transaction to be accretive to non-GAAP earnings in the first 12 months following the closing.

The products, services and solutions currently offered by Sun and StorageTek complement each other, and form one of the most comprehensive storage and data management portfolios in the industry. Sun today offers a line of innovative storage and networking products, including the Sun StorEdge 6920 storage system, a platform for virtualization and data services on almost any vendor’s storage system. Coupled with StorageTek’s new line of data protection and intelligent archive products, including its Storage Resource Management software and virtual tape solutions, Sun customers will have the ability to implement comprehensive ILM storage infrastructures with intelligence to maximize storage utilization and ensure compliance in enterprise, midrange and workgroup environments.

Following completion of the proposed transaction, which is expected to occur in late Summer/early Fall 2005, StorageTek will become fully integrated within Sun’s organization. In the interim, a joint team with representatives of both companies will develop integration plans that build upon the technological, product and cultural synergies and the best business and product development practices of both companies.

Sun Server Sets New Performance Record on Manugistics Benchmark

Results Showcase Sun Fire E20K Server and Solaris 10 Speed, Consolidation and Price/Performance Leadership

(Nasdaq: SUNW) today announced that Sun’s Enterprise class UltraSPARC(R) IV-based Sun Fire E20K system running Solaris 10 Operating System (OS) has set a new Manugistics Fulfillment v7.1 benchmark world record. Sun demonstrates industry-leading performance and price/performance on the 36-way Sun Fire E20K server (1) by beating IBM’s newest 32-way Power5 server, the IBM P5-590 by 23 percent, with a 45 percent price/performance advantage based on hardware category pricing.

Many of the world’s largest retailers use Manugistics solutions to reduce costs and improve customer service by replenishment planning at the store level. The Manugistics applications are built on open standards and architected to the Java2 Platform, Enterprise Edition (J2EE). The Manugistics NetWORKS Fulfillment 7.1 benchmark measures throughput results for real world complex retail supply chain management systems and workloads. These results demonstrate Sun’s ability to run complex workloads efficiently and effectively, and also showcase Sun’s chip multithreading innovation with the 1.35 GHz UltraSPARC IV processors running 10 percent faster than IBM’s 1.65 GHz POWER5 processors.

In order to achieve this record, both database and application servers were on a single system, demonstrating the server consolidation capabilities of Sun Fire servers. In addition, the superior batch processing capability of the Sun Fire E20K server that balances I/O, memory, and CPU processing power, as well as its ability to scale near linearly as processor are added, played an instrumental role in delivering unbeatable performance on real world supply chain workloads. The performance of the 36-way Sun Fire E20K server was 3 times faster than the 12-way Sun Fire E4900 server on the same size workload (with a third of the processors).

Sun Microsystems, Inc. (NASDAQ: SUNW) today announced that it has made new services available to tens of thousands of Sun customers with SunSpectrum Service Plan coverage. SunSpectrum Service Plans, Sun’s most popular product support offerings, provide integrated hardware and Solaris Operating System support for Sun servers and workstations. Many of the service enhancements utilize Sun Connection, an integrated, secure services connection that links customers, partners, developers and Sun in a dynamic and collaborative network-based community.

New Services in SunSpectrum Service Plan

Sun’s new services, which are immediately available at no additional cost to customers with SunSpectrum Service Plan coverage, include:

  • SunSpectrum eLearning Library: An online library of technical training modules available at no additional cost. The initial set of modules focuses on the Solaris Operating System and includes new courseware for Solaris 10.
  • Sun Update Connection: The first service available through Sun Connection, Sun Update Connection helps customers keep their Sun systems up-to-date and secure with automatic notification of Solaris Operating System updates, advanced analysis capabilities and multi-system remote update management. A preview release of Sun Update Connection is scheduled to be available by the end of the quarter.
  • One-Stop Interoperability Assistance: Sun is formally expanding its interoperability support through a broader network of participating vendors and the inclusion of joint support centers that Sun now operates with Oracle, SAP and VERITAS.
  • System Health Check Subscription: Systems with SunSpectrum Platinum Service Plan coverage are now entitled to receive Sun’s on-demand configuration assessment service, Sun System Analysis. This service helps companies proactively manage mission-critical systems.

The new Sun Spectrum services are a result of customer requests to provide a holistic solution to bring value to their business. To quantify these offerings, Sun Services engaged leading third party research companies to better understand customer perception and potential value.

Quantifying the Value of Support

Sun enlisted Forrester Research’s TEI Consulting Team to investigate the Sun Spectrum Service Plan for customers. Forrester examined the total economic impact and return on investment of SunSpectrum services in a study published in April 2005.

The Forrester study, commissioned by Sun, yielded key findings, including: lower total cost of support, improved systems availability and improved system administrator productivity with SunSpectrum service as compared to a break/fix environment. Forrester interviewed current international and national SunSpectrum service customers in financial services, telecommunications and publishing industries and through a Total Economic Impact framework developed a composite organization. The estimate risk-adjusted ROI for this composite company was 67% with a break-even point (payback period) within 12 months.

Sun also commissioned TNS Prognostics in June 2004 to gauge customer value. TNS Prognostics asked companies to rate the product support offerings of top IT vendors. Sun’s Service Plans prevailed and were ranked number one in customer value, beating Dell and IBM.

Grantham concluded, “Our best just got better with the new SunSpectrum services. Fujitsu Introduces New LifeBook B6000 Notebook Line of Touch Screen Notebooks

Larger, brighter screen and longer battery life ideal for forms-intensive markets including healthcare and field-force automation

Fujitsu Computer Systems today expanded its mobile product portfolio announcing the new LifeBook® B6000 Series of light and powerfully equipped ultra-portable touch screen notebooks ideally designed for healthcare, field-force automation and other fast-paced, forms-intensive workplaces. Featuring a larger, 50% brighter screen and exceptionally long battery life, the 3.3 pound LifeBook B6000 notebook, powered by the Intel® Pentium® M ULV 753 processor with enhanced SpeedStep® technology delivers the flexibility of a touch screen and the productivity of a notebook for maximum efficiency.

Equipped with a 12.1-inch XGA touch screen display, the LifeBook B6000 notebook, which replaces the LifeBook B3000 notebook, makes it remarkably easy to navigate swiftly through special purpose, project-based, forms-based or menu-driven applications with a stylus or fingertip. Terabeam Wireless Announces Plans for WiMAX Systems Based on the Fujitsu System-on-Chip

TeraMax™ 3.0 Products To Include New “Logan” Operating System and Planned for General Availability in 4Q 2005

Terabeam Wireless, the business name of YDI Wireless, Inc. (NASDAQ:YDIW), a leading developer and supplier of broadband wireless solutions, and Fujitsu Microelectronics America, Inc. (FMA), a leading provider of robust and highly integrated wireline and wireless system-on-chip (SoC) solutions for next generation networks, today announced that Terabeam has selected the Fujitsu MB87M3400 WiMAX SoC as the standard silicon for integration into Terabeam’s TeraMax™ 3.0 product family. The TeraMax™ 3.0 products will be WiMAX-compliant, will incorporate Terabeam’s new wireless network management operating system, code-named “Logan,” and are planned for general availability in the fourth quarter of 2005.

Terabeam will offer turnkey point-to-multipoint and point-to-point systems complying with the IEEE 802.16-2004 WiMAX standard as an extension of its TeraMax™ product series. Current TeraMax™ products have been providing customers with much of the functionality of WiMAX since 2004, such as orthogonal frequency division multiplexing (OFDM), adaptive dynamic polling, packet aggregation, and enhanced security options. TeraMax™ base stations, customer premise equipment (CPE), and bridges are available today for operation at multiple frequency bands – including the 4.9GHz band dedicated to public safety in the United States – and are also available in compact (integrated-antenna) and ruggedized enclosures. With a powerful combination of performance, versatility, and value, TeraMax™ systems are ideal for a variety of applications and environments for service providers, enterprises, municipalities, and public safety organizations.

The Fujitsu MB87M3400 is fully compliant with the IEEE 802.16-2004 WiMAX standard and can be configured to be used in both base station and subscriber station applications. It is designed to support frequencies ranging from 2 to 11GHz in both licensed and license-exempt bands. An on-chip OFDM PHY supports channel bandwidths from 1.75MHz up to 20MHz, and can operate in TDD or FDD modes. When applying a 64QAM modulation in a 20MHz channel and using all 192 sub-carriers, the SoC’s data rate can go up to 75 Mbps. The SoC incorporates sophisticated processing power, including a powerful main RISC engine that implements the 802.16 upper-layer MAC, scheduler, drivers, protocol stacks, and user application software. Also on board is a secondary RISC/DSP that functions as a co-processor, which executes lower-layer MAC functions, offloading processing from the upper-layer MAC and enhancing the total SoC performance.

“Logan” has been under development for over three years and was a significant driver of Terabeam’s acquisition in 2004 of KarlNet, Inc. Logan is a processor-agnostic operating system that can support multiple wireless modes (including 802.11 and the proprietary TurboCell® currently, and 802.16 by 4Q 2005) and is significantly more adaptable for ongoing development. Logan’s agility and versatility allow for a major streamlining of Terabeam’s software portfolio, and it enables support for quality of service (QoS), voice-over-IP (VoIP), state-of-the-art security and IPv6. Logan’s user interface and configuration and management tools provide for an enhanced user experience. Logan will be integrated into select Terabeam products throughout the remainder of 2005.
